Section 1. Definitions

For the purpose of these Terms:

• "MarketLabs", "we", "us": MarketLabs S.r.l., a company incorporated under Italian law, with registered office at Via delle Quattro Fontane 116, 00184 Rome, Italy.
• "Compass" or "Platform": the AI Decision Intelligence Platform operated by MarketLabs.
• "Website": marketlabs.io and its subdomains.
• "You" or "User": any natural or legal person accessing the Website or using the Platform.
• "Customer": a legal entity that has entered into a Master Subscription Agreement with MarketLabs for use of Compass.
• "Master Subscription Agreement" or "MSA": the separate commercial contract governing the use of Compass by a Customer.

Section 2. Use of the website

The Website is provided for informational and pre-contractual purposes. You may access and view the Website for personal or professional reference. Bulk download, scraping, or systematic copying of content is prohibited without prior written consent.

We reserve the right to modify, suspend, or discontinue the Website (or any part of it) at any time without notice.

Section 3. Demo requests and pre-contractual communications

When you request a demo or submit a contact form, you provide personal data that we process under our Privacy Policy. Demo requests do not create a contractual obligation. They are pre-contractual communications and may lead to a commercial proposal.

Information shared during pre-contractual communications (demos, calls, exchanges of materials) is treated as confidential by both parties. Specific confidentiality may be governed by a separate Non-Disclosure Agreement.

Section 4. The Compass platform (customer agreements)

Commercial use of Compass is governed by a Master Subscription Agreement signed between the Customer and MarketLabs. The MSA covers, among other matters: scope of license, deployment model, service levels (SLA), data processing terms (DPA), security commitments, pricing, term and renewal, termination, intellectual property, warranties, and liability.

These Terms do not replace the MSA. In case of conflict between these Terms and an MSA, the MSA prevails for the matters covered by it.

Section 5. Intellectual property

All content on the Website (text, graphics, logos, images, software) is the property of MarketLabs or its licensors, protected by copyright and other intellectual property laws. The "Compass" name and logo are trademarks of MarketLabs.

You may not reproduce, modify, distribute, or use any content from the Website for commercial purposes without our prior written consent.

Customer rights to use the Compass platform are governed exclusively by the applicable MSA.

Section 6. Acceptable use

You agree not to:

• Use the Website or Platform in violation of applicable law
• Attempt to gain unauthorized access to any part of the Website, Platform, or related systems
• Interfere with the operation of the Website or Platform (denial-of-service attempts, malware, etc.)
• Use the Website or Platform to infringe the rights of any third party
• Misrepresent your identity or affiliation
• Scrape, harvest, or systematically extract content without authorization

Violations may result in suspension of access, termination of contracts, and legal action where appropriate.

Section 7. Disclaimers and limitations of liability

The Website is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent permitted by applicable law, MarketLabs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, arising from your use of the Website.

These limitations do not apply to gross negligence, willful misconduct, or matters that cannot be limited under applicable mandatory law. Limitations of liability for the Compass platform are separately governed by the applicable MSA.

Section 8. Indemnification

You agree to indemnify and hold MarketLabs harmless from any claims, damages, or expenses arising from (a) your violation of these Terms, (b) your use of the Website in violation of applicable law, or (c) your infringement of third-party rights.

These Terms apply for the duration of your access to or use of the Website. We may terminate or suspend your access at any time, without prior notice, for any reason, including violation of these Terms.

Sections that by their nature should survive termination (intellectual property, confidentiality, disclaimers, limitations of liability, governing law) survive.

Section 10. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Italy, without regard to its conflict of law principles.

Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Rome, Italy.
